Affiliate Agreement

This Affiliate Agreement is entered into by and between AIRAMAK, LLC "AIRAMAK", a clothing brand and the Affiliate, whose details are provided during the application process.

**1. Purpose of the Agreement**

AIRAMAK desires to promote its brand and products through Affiliate marketing efforts. The Affiliate agrees to promote AIRAMAK's products in accordance with the terms of this Agreement.

**2. Enrollment in the Program**

2.1. To enroll in the AIRAMAK Affiliate Program, the Affiliate must submit a completed application through the AIRAMAK website.

2.2. AIRAMAK reserves the right to approve or reject any application at its sole discretion for any reason.

**3. Affiliate Obligations**

3.1. The Affiliate agrees to use its best efforts to market and promote AIRAMAK products in a manner consistent with AIRAMAK's branding guidelines.

3.2. The Affiliate may promote AIRAMAK products through social media, blogs, websites, and other approved platforms.

3.3. The Affiliate shall not:

   - Engage in any deceptive or misleading marketing practices.

   - Make false claims about AIRAMAK products.

   - Use AIRAMAK intellectual property without prior written consent.

**4. Commissions and Payments**

4.1. AIRAMAK will pay the Affiliate a commission of 6% on net sales generated through the Affiliate’s unique referral link or code.

4.2. Commissions will be paid monthly, within 30 days of the end of the previous calendar month, provided the Affiliate has met the minimum payout threshold of $50 USD.

4.3. AIRAMAK reserves the right to adjust or withhold commissions for returns, chargebacks, or fraudulent transactions.

**5. Intellectual Property**

5.1. AIRAMAK grants the Affiliate a limited, non-exclusive, non-transferable license to use AIRAMAK trademarks, logos, and promotional materials solely for the purpose of promoting AIRAMAK products under this Agreement.

5.2. All intellectual property rights remain the sole property of AIRAMAK.

**6. Term and Termination**

6.1. This Agreement will commence on the date of approval and continue until terminated by either party.

6.2. Either party may terminate this Agreement at any time, with or without cause, upon providing written notice to the other party.

6.3. Upon termination, the Affiliate must cease all promotional activities involving AIRAMAK products and remove all AIRAMAK promotional materials from its platforms.

**7. Confidentiality**

The Affiliate agrees to keep all non-public information about AIRAMAK’s business, products, and marketing strategies confidential and not disclose it to any third party.

**8. Limitation of Liability**

AIRAMAK shall not be liable for any indirect, special, or consequential damages arising in connection with this Agreement or the Affiliate’s participation in the program.

**9. Governing Law**

This Agreement shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles.

**10. Entire Agreement**

This Agreement constitutes the entire agreement between AIRAMAK and the Affiliate and supersedes all prior agreements or understandings, whether written or oral.

**11. Modifications**

AIRAMAK reserves the right to modify the terms and conditions of this Agreement at any time. The Affiliate will be notified of any significant changes, and continued participation in the program constitutes acceptance of the updated terms.

**12. Acceptance**

By participating in the AIRAMAK Affiliate Program, the Affiliate acknowledges that they have read, understood, and agree to be bound by the terms of this Agreement.
